Terms & Conditions for Both the buyer and seller sign all finalized deals on a notarized stamp paper and the contact is biding.

1. GENERAL: These terms and conditions are the only terms and conditions upon which the Sellers would do business with the Purchaser as per the purchase order. No other agreement, representation, promise, undertaking or understanding of any kind unless expressly accepted in writing by the Sellers shall alter, vary, supercede or operate as a waiver of these terms and conditions.
The Sellers shall be conclusive for any order placed by the Purchaser verbally , including the type and quantity of machine or parts and the place and date of delivery.

2. ORDERS: When the buyer place order to the seller, one contract of purchase shall be made or deemed to have been made as acknowledgement by the seller. 30% of deposite of total amount should be prepaid by buyer and the seller begin to make preparation for the production of machine . And the balance of 70% of total amount should be paid before the delivery of machine .Since the machine are all customized as per buyers’ special requirement . So if the buyer ,for any reason ,is not able to complete the remaining sales proceeds in the mutually desided time frame as mentioned in the contact ,then the advance amount ,that is 30% of the sale proceeds will be forfeited as seller’s production cost .

Charges of Simptek machine for services and consultation must be paid at the time of entering into the contract.
All payments of purchased order will be paid to Simptek .Commission charges are non-refundable after entering the notarized contract .

3. VALIDITY: All goods are offered subject to their being available upon receipt of the Purchaser’s order.

4. PRICES: All prices quoted or accepted are based on Ex-work cost ,exclusive of VAT,which shall be paid to local customs .
Unless expressly quoted as a firm price, all prices quoted by the seller are business estimates only and the prices ruling at the date of despatch shall apply and shall be invoiced to the Purchaser.
After the acknowledgement of order of purchase , If the production work is suspended because of the Purchaser’s instructions, lack of instructions or failure to supply specifications, extra charges may be made by the sellers against the Purchaser.

5. PACKAGING AND DELIVERY: Basically ,for small machine or parts , they are protected by stretch film firstly and then packed by wood box .For large machine ,like banbury , it would be directly fixed on the container .
As to the delivery date shall be counted from the date of acceptance or deemed acceptance of the Purchase order. The Sellers may make part deliveries or may deliver any of the machine by instalments . Each delivery shall be considered a separate transaction and the failure of any delivery shall not affect the due performance of the contract of sale as regards other deliveries.

6. FORCE MAJEURE: If any stoppage, delay or interruption of work occur at the Sellers’ manufacture before or during the delivery period caused by strike, lockout, labour dispute, fire, breakdown of machinery, shortage of materials or transport or any other cause beyond the Sellers’ control, deliveries may be wholly or partially suspended and the delivery period extended by the length of time during which deliveries are suspended.

7. WARRANTIE& GUARANTEE:

 The Sellers should provide manufacturer’s guarantee for the benefit of the buyer warranty of quality or servicing agreement .

8. LOSS OR DAMAGE ON TRANSPORTATION : Any shortage or damage to the machine must be clearly stated on the shippment delivery sheet or in a written statement of the facts received by the Seller and the shipping company within 30 days after the date of delivery , otherwise no claim will be entertained. 

9. INSTALLATION AND COMMISIONING: The Sellers may agree to a separate charge to install and/or commission machines at the premises of the Purchaser of any third party.  If they do so then: –

(a) The Sellers shall take no liability for any loss or damage whether direct or consequential and howsoever caused to the Purchaser or to any third party during or as a result of or in connection with the installation or commissioning.

(b) The Purchaser shall indemnify the Sellers against any loss or damage caused to the Sellers during or as a result of or in connection with the installation or commissioning.

In conclusion ,Terms & Conditions are not merely obligatory legal documents ,they are vital instruments that establish guidelines ,protect both parties and foster transparency .
